Website Terms of Use

The following terms and conditions govern your use of the website(s) (each, the “Site”) operated by Autonomous Healthcare Inc. (“AHI”).  YOUR USE OF THE SITE MEANS THAT YOU ACCEPT THESE TERMS.  You are not permitted to access or use the Site if you do not agree to these terms.

Modifications

AHI may modify these terms from time to time without notice to you.  We may also impose rules and restrictions for, and limits on use of, the Site (or any portion of it) without notice.  You should check these terms periodically for modifications.  By continuing to use the Site after any changes are posted, you acknowledge acceptance of those changes.  

Service Agreements

AHI provides its products and services for the healthcare market to its customers (“Customers”) pursuant to its Terms of Service or other agreements between AHI and Customer (“Customer Agreements”).  These Terms of Use and the Customer Agreement will be read and interpreted, to the extent possible, so that there is no conflict between them. To the extent there is a conflict, the Customer Agreement will govern and control.

Proprietary Rights

The Site, including all copyrights and other intellectual property rights in the Site, is owned by AHI and/or its suppliers and licensors.  

AHI’s trademarks may be used only with written permission from AHI and proper acknowledgement. Any other trademarks, brands, and names displayed on the Site are the property of their respective owners. AHI and its suppliers and licensors do not grant any express or implied right to you under any patents, copyrights, trademarks, or trade secret information.  

Content

The Site and all documents and other material on the Site (e.g., blogs, product descriptions, white papers, articles, etc.), are the copyrighted and proprietary work of AHI and/or its licensors, suppliers or other third parties, and are protected by law, including United States copyright law, international treaties, and other intellectual property rights.  This content has been prepared or is being provided by AHI for information purposes only, to assist you in evaluating the matter to which such content relates.

Unless the Customer Agreement applies, AHI permits you to copy and use documents on the Site so long as each copy (i) is solely for your informational, non-commercial use in support of your evaluation or use of AHI products or services, (ii) is not modified or revised in any manner, and (iii) displays all copyright and other proprietary notices, in the same form and manner as on the original. For the avoidance of doubt, such documents do not include (a) the design or layout of this Site, or (b) any tools, software or other materials which are governed by a Customer Agreement or license terms separate from these terms.

Restrictions

You may not:

(a) mirror or frame the content of this Site on another server, web site or other media;

(b) attempt to gain unauthorized access to the Site or to any network connected to it;

(c) unless permitted by AHI, use automated scripts or other data extraction devices on the Site except to the extent such restriction is not permitted under applicable law;

(d) probe, monitor or test the vulnerability, or breach the security, of the Site or any network connected to it; or

(e) use the Site or any of its content in violation of any applicable law or in a manner that is detrimental to AHI, its licensors, suppliers or Customers, or any other users of the Site.

DISCLAIMER OF WARRANTIES; LIABILITY LIMITATIONS  

UNLESS OTHERWISE REQUIRED UNDER APPLICABLE LAW:

THE SITE IS PROVIDED "AS IS", AND AUTONOMOUS HEALTHCARE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THOSE OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT, and

IN NO EVENT SHALL AUTONOMOUS HEALTHCARE OR ITS LICENSORS OR SUPPLIERS BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES (EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF GOODWILL, LOSS OF PROFITS, WORK STOPPAGE, COMPUTER FAILURE OR MALFUNCTION, LOSS OF DATA OR FOR ANY OTHER DAMAGES OR LOSSES OF ANY NATURE, ARISING OUT OF OR IN CONNECTION WITH THIS SITE OR ANY MATERIALS ACCESSIBLE ON OR FROM THE SITE.

Lawful Use of Site

You agree to comply with all applicable laws, rules and regulations in connection with your use of the Site, including all applicable laws regarding the transmission of technical data exported from the United States or the country in which you reside.  We control and operate the Site from our offices in the United States of America.  We do not represent that materials on the Site are appropriate or available for use in other locations.  Access to the Site and its services is prohibited from jurisdictions where the contents of the Site or its services are illegal or penalized.

Third Party Products or Sites

Mention of third party products or services, or links to third party sites, on the Site is for information purposes only and does not constitute an endorsement or a recommendation.   AHI is not responsible for any third party sites, whether or not linked to or from this Site.

Privacy Policy

Personal information obtained through your use of the Site is subject to our Privacy Policy available at http://www.countra.ai/privacy-policy.

Your Feedback

From time to time, we may ask you to provide, or you may otherwise provide to us, evaluations, submissions, suggestions, ideas, recommendations and other feedback regarding the Site or AHI products or services (“Feedback”).  Your provision to us of Feedback is at your discretion.  AHI may use and disclose your Feedback as provided in the Privacy Policy.  You represent and warrant that you own or have sufficient right to use and grant to AHI these rights in your Feedback, and that your Feedback does not infringe, misappropriate or violate any third party’s rights or any applicable law.

General

These terms are governed by the laws of the State of California, U.S.A., not including its conflict of law principles.  Actions relating to these terms shall be brought in the state courts located in and serving Santa Clara County, California or the federal courts for the Northern District of California.  

We are not responsible for any delay or failure to perform due to unforeseen circumstances or to causes beyond our control.

Any modifications to these terms must be authorized in writing by AHI. The waiver of any default does not waive subsequent defaults of the same or different kind.  If any provision of these terms is not enforceable, then to the extent possible, such provision will be reformed to be enforceable (while still maintaining the parties’ intent), and the remaining terms remain in full force and effect.
